Transfer, price revision and the circulars
Chapters 5, 10, 11 and 12: transfer of business, post-export price revision, credit mismatch and discount reversal.
Transfer on a change in constitution (Chapter 5)
This certificate supports Form GST ITC-02. It certifies one thing: that the sale, merger, demerger, amalgamation, lease or transfer of the business was made with specific provision for the transfer of liabilities, as Rule 41(2) requires. It says expressly that it does not certify whether the credit itself is admissible.
Choose the basis of transfer:
- Order — the order number and date, and who passed it
- Business transfer agreement — its date, and the clause that transfers the liabilities
- Death of the proprietor — the date of death, and the date the business passed to the legal heir
Only the basis you choose is printed. The transferee (on a death, the legal heir) and their GSTIN are required.
Refund on a post-export price revision (Chapter 10)
This certificate is for a refund of the extra integrated tax paid when the price of goods is revised upward after export. The refund is claimed under Rules 89(1B) and 89(2)(bb), inserted by Notification No. 12/2024–Central Tax. The certificate gives reasonable assurance that the extra foreign exchange received is on account of that price revision. It does not cover whether you are eligible for the refund, the refund amount, the tax rate or the input tax credit.
Enter the extra remittance and tax period from Statement 9A of Form GST RFD-01. Then enter one row per export, with:
- the export invoice, port code and shipping bill
- the original bank realisation certificate (BRC) or foreign inward remittance certificate (FIRC), and the refund already sanctioned
- the supplementary invoice or debit note
- the extra IGST paid, any interest, and the tax period it was paid in
- the extra BRC or FIRC
The Guide prints these as one very wide table under the Opinion. The certificate prints them as two tables, with every column kept, so they fit an A4 page.
UDIN category 21 is pre-filled.
Credit mismatch, GSTR-3B against GSTR-2A (Chapter 11)
This certificate follows CBIC Circulars No. 183/15/2022-GST and 193/05/2023-GST. It is issued on the supplier's records, for the recipient's proper officer, and states that the supplier paid the tax on the mismatched invoices through Form GSTR-3B. It is a statement of fact that traces the invoices into the returns. It is not an opinion on whether the recipient's credit is admissible, and it says so.
The wizard asks for:
- the supplier (the applicant) and the recipient, each with GSTIN, registration date and places of business
- the financial year — chosen from a list of every completed year since 2017-18, newest first — and the period of the mismatch
- the difference between GSTR-3B and GSTR-2A for this supplier for that year. It must exceed five lakh rupees. Below that, the circular accepts the supplier's own certificate.
- the invoices: taxable value, tax paid on each head and invoice value. For goods, also the date and place of delivery.
The amount certified is the total tax on the invoices you enter.
Credit reversal on post-supply discounts (Chapter 12)
This certificate follows CBIC Circular No. 212/6/2024-GST. A supplier can leave a post-supply discount out of the taxable value only if the recipient reverses the credit attributable to it (section 15(3)(b)(ii)). The certificate is issued on the recipient's records, for the supplier, and states that the recipient reversed that credit.
For each credit note, enter:
- its number, date and taxable value
- the tax on each head, and the credit reversed on each head
- the tax period of the reversal, and how it was reversed: Form GSTR-3B, Form GST DRC-03 or another document
- the original invoices it relates to, and the tax period in which the credit was first availed
If one credit note covers several invoices, give them all against it.
The tax in the discounts must exceed five lakh rupees. Below that, the circular accepts the recipient's own undertaking. The amount certified is the total credit reversed.
