Filling the certificate

A row per tranche, every covenant with management's comment, and the periods the procedures name.

Five steps: the company, the debentures, the covenants, the verification, then review and issue.

1. Company & Engagement

Name, constitution, registered office, PAN and GSTIN, with the certificate and engagement dates.

Note

As with the scheme certificate, the name and registered office you enter here are also the address block: this certificate is addressed to the company's own Board of Directors.

2. Debentures & Trustee

Normally 30 September or 31 March. A date rather than a year, because the certificate is half-yearly.

Where the covenants are set out. Each is optional, and only those filled are cited. Enter the reference alone: "Third Schedule", "4", "B". The certificate adds "the", "Clause" and "Part", and drops them if you typed them too.

Clause of the Memorandum

Where the financial, negative and ownership covenants are set out. The number alone; "Clause" is added.

Note

Each tranche becomes a lettered item — a), b) — in both the scope paragraph and your responsibility paragraph. Enter one tranche and you get one item, not an empty second.

3. Covenants

Every covenant, entered once.

As represented by management. This is the column the trustee reads.

Warning

The certificate says you relied on management's representation for covenants other than the ratios, rating and repayment schedule. The comments in this column are those representations — record them as given.

4. Verification

What the procedures paragraph names. The figures themselves are never printed, so they are not asked for.
